These Terms of Service (these "Terms") constitute a legally binding agreement between you (hereinafter the "User," "you," or "your") and EarnBit LLC, including its affiliates, subsidiaries, officers, directors, employees, agents, service providers, and any other parties acting on its behalf (hereinafter collectively referred to as "EarnBit," "we," "us," or "our"). These Terms govern your access to and use of the Crypto asset exchange platform, website, applications, APIs, products, software, tools, and services provided by EarnBit (collectively, the "EarnBit Software"). These Terms contain important provisions, which the User must consider carefully and understand when choosing whether to visit the Site and use the services, products and content of EarnBit. Please read these Terms carefully before agreeing to them.

By registering an account on the EarnBit Software, accessing the EarnBit Software, or using any services, products, or content provided by EarnBit (collectively, the "Services"), you acknowledge and agree that you have carefully read, fully understand, and expressly accept these Terms, as well as the EarnBit Privacy Policy, Anti-Money Laundering (AML) and Know-Your-Customer (KYC) policies, risk disclosures, Legal Disclaimer, and any and all other relevant policies, guidelines, or notices as may be issued by EarnBit from time to time. These Terms apply to all Users who access, use, or attempt to use the EarnBit Software, regardless of location, status, or means of access.

EarnBit operates as a customer services provider and does not represent or warrant that its Services are legal, appropriate, or available for use in all jurisdictions. The User acknowledges and agrees that it is solely their responsibility to comply with all applicable laws, regulations, and legal requirements in their respective jurisdiction(s) before accessing or using the EarnBit Software. EarnBit makes no representations or warranties regarding the legality of its Services in any jurisdiction, except for the Applicable Jurisdictions, as defined in Section 1 herein, and expressly disclaims any liability for non-compliance by the User with applicable laws or regulatory obligations.

EarnBit reserves the absolute and sole right, at its discretion, to amend, modify, supplement, update, or replace these Terms, in whole or in part, at any time and without prior notice. Any such modifications shall take effect immediately upon publication on the EarnBit Software or through any other reasonable means of communication. Your continued access to or use of the EarnBit Software and Services after the effective date of such modifications shall constitute your express acceptance of the revised Terms. If you do not agree with any modifications, your sole remedy is to discontinue using the EarnBit Software and close your account.

These Terms constitute a legally enforceable contract between the User and EarnBit. By accessing or using the EarnBit Software or Services, you affirm that you have full legal capacity to enter into and be bound by these Terms. If you do not have the requisite legal capacity, or if you do not agree to these Terms in full, you must immediately cease accessing or using the EarnBit Software and Services. Your continued use of the EarnBit Software constitutes your unequivocal acceptance of these Terms and any modifications made to them from time to time.

The User has to read and to understand the entire Terms carefully before each using the Site and/or any of the Services provided by EarnBit.

IF THE USER DOES NOT ACCEPT AND/OR UNDERSTANDS THESE TERMS OF USE, THE USER SHALL NOT ACCESS THIS SITE AND SHALL NOT USE ANY OF EARNBIT SOFTWARE, SERVICES, PRODUCTS AND CONTENT.

You should be aware that the risk of loss in trading or holding Crypto asset can be high and may lead to a complete loss of the traded funds. The User expressly acknowledges that Crypto asset and Crypto asset transactions are inherently volatile and subject to regulatory scrutiny, which may impact the availability, legality, and execution of transactions. The Services may not currently be regulated in certain countries (by financial authorities or any other regulator). You should therefore carefully consider whether trading or holding Crypto assets (or Cryptocurrencies) is suitable for you in light of your financial condition and possible risks. EarnBit shall not be responsible or liable for any legal consequences arising from the User's use of the EarnBit Software in jurisdictions where such activities are restricted or prohibited. EarnBit retains the unilateral right to impose restrictions, terminate accounts, or deny access to any User if it determines, in its sole discretion, that such actions are necessary to ensure compliance with legal or regulatory obligations.
